Terms of Service

1. Acceptance of Terms

By accessing or using Barn (“barnlocal.com” or the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must discontinue use immediately. These Terms constitute a legally binding agreement between you and Barn.

2. Platform Description — Connection Service Only

Barn is a technology platform that connects buyers and sellers of locally produced goods. Barn does not produce, manufacture, prepare, handle, store, deliver, inspect, or sell any food, agricultural products, or other items listed on the Platform.

Barn is not a grocery store, food distributor, farmers’ market operator, or food service establishment. We are a classified listing and communication service — similar to a community bulletin board — that enables local community members to discover and connect with one another.

Barn has no control over and does not guarantee the existence, quality, safety, legality, accuracy of listings, ability of sellers to sell items, or ability of buyers to pay for items. Barn is not involved in the actual transaction between buyers and sellers.

3. User Accounts

You must be at least 18 years old to create an account and conduct transactions. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information.

4. Seller Responsibilities

If you list items for sale on Barn, you are solely and exclusively responsible for:

  • Complying with all applicable federal, state, and local laws and regulations, including but not limited to the Florida Cottage Food Law (§500.80, Florida Statutes), USDA regulations, FDA food safety requirements, and any applicable health department rules
  • Obtaining and maintaining all required licenses, permits, certifications, and inspections for the production and sale of your goods
  • Ensuring the safety, proper handling, storage, labeling, and freshness of all products you sell
  • Accurately representing your products, including ingredients, allergens, production methods, and any relevant health or safety information
  • Collecting and remitting any applicable sales tax
  • Carrying appropriate business or product liability insurance if required by law or prudent for your operation
  • Disclosing any known allergens, health risks, or safety considerations associated with your products

Barn does not verify, inspect, approve, endorse, or certify any seller, product, listing, license, permit, or facility. The presence of a listing on Barn does not constitute any form of approval or endorsement by Barn.

5. Buyer Responsibilities & Assumption of Risk

If you purchase items through connections made on Barn, you acknowledge and agree that:

  • You are purchasing directly from the seller, not from Barn
  • You assume all risk associated with purchasing, consuming, or using products obtained through connections made on the Platform
  • You are responsible for verifying the quality, safety, freshness, and suitability of any items before purchase or consumption
  • You should inquire about ingredients, allergens, production methods, and handling practices directly with the seller
  • You should exercise your own judgment and due diligence regarding any transaction
  • Barn has not inspected, tested, verified, or approved any products listed on the Platform

BY USING THIS PLATFORM, YOU EXPRESSLY ACKNOWLEDGE THAT PURCHASING FOOD AND AGRICULTURAL PRODUCTS FROM INDIVIDUAL SELLERS CARRIES INHERENT RISKS, AND YOU VOLUNTARILY ASSUME THOSE RISKS.

6. Transactions Between Users

All transactions are conducted solely between the buyer and seller. Barn is not a party to any transaction and has no obligation related to any transaction. Payment, delivery, disputes, refunds, and returns are entirely between the parties involved.

Barn does not process payments, hold funds, or act as an escrow or intermediary for any financial transaction. Any payment methods displayed on seller profiles (such as Venmo, Zelle, Cash, or cryptocurrency addresses) are provided by sellers for direct peer-to-peer transactions.

7. Events & Gatherings

Barn may list community events such as farmers’ markets, workshops, dinners, or festivals. Barn is not the organizer, host, or sponsor of any listed event. Event organizers are solely responsible for the event, including safety, permits, insurance, food handling, and compliance with applicable laws. Attendance at any event listed on Barn is at your own risk.

8. User Content & Listings

You retain ownership of content you post. By posting, you grant Barn a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content in connection with the service. You agree not to post content that is false, misleading, fraudulent, illegal, infringing, harmful, abusive, or spam.

If you post a listing on behalf of another person (“proxy listing”), you represent that you have their express permission and that all information is accurate. You remain responsible for the content of proxy listings.

9. Ratings & Reviews

Users may leave ratings and reviews. Reviews must be honest and based on genuine experience. Barn reserves the right to remove reviews that violate these Terms. Ratings reflect individual user opinions and are not verified or endorsed by Barn.

10. Prohibited Conduct

  • Using the service for any unlawful purpose
  • Listing items that are illegal to sell in your jurisdiction
  • Misrepresenting the nature, origin, or safety of products
  • Scraping, harvesting, or collecting user data without consent
  • Impersonating another person or entity
  • Interfering with or disrupting the service
  • Using automated systems to access the service without permission

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BARN EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BARN MAKES NO WARRANTY OR REPRESENTATION REGARDING: (A) THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY ITEMS LISTED; (B) THE ACCURACY OR COMPLETENESS OF ANY LISTING OR USER CONTENT; (C) THE QUALIFICATIONS, LICENSES, OR COMPLIANCE OF ANY SELLER; (D) THE RELIABILITY, TIMELINESS, OR AVAILABILITY OF THE SERVICE; OR (E) THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BARN, ITS OWNERS, OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Personal injury, illness, allergic reaction, or death arising from products obtained through the Platform
  • Loss of profits, data, goodwill, or other intangible losses
  • Any transaction or interaction between users
  • Any content posted by users
  • Unauthorized access to or alteration of your data
  • Any failure of a seller to comply with applicable laws or regulations

IN NO EVENT SHALL BARN’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU HAVE PAID TO BARN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Barn and its owners, operators, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Platform; (b) any products you sell, purchase, or consume through connections made on the Platform; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your content or listings.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration conducted in Sarasota County, Florida, under the rules of the American Arbitration Association. You agree to waive any right to a jury trial and to participate in a class action lawsuit against Barn.

15. Termination

We may suspend or terminate your account at any time, with or without cause, at our sole discretion. You may delete your account at any time. Upon termination, your right to use the Platform ceases immediately.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.
